Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On December 13, 2021, Bloomin’ Brands, Inc. (the “Company”) announced that its Digital team would become a part of its Marketing Department and its Information Technology (“IT”) team would report to a functional IT leader, thus eliminating the Executive Vice President, Chief Customer Officer position that previously oversaw those areas. As a result, the Company and Michael Stutts entered into a Separation Agreement and General Release (the “Separation Agreement”). Accordingly, Mr. Stutts will separate from the Company effective December 20, 2021. The Separation Agreement provides Mr. Stutts with a lump sum severance payment of $1,600,000 and certain other benefits and includes a customary release of claims and certain other covenants.
